AIERSHA Wholesale Terms and Conditions

1. Eligibility and Account
This Agreement applies solely to qualified wholesale clients, distributors, and business partners. To open a wholesale account with AIERSHA, you must provide a valid business license or company registration.
2. Orders and Minimums
- Minimum Order Quantity (MOQ): Specific MOQ requirements may apply to individual products or customized sets.
- Order Acceptance: All orders are subject to AIERSHA's final acceptance.
- Custom Orders: Orders for customized packaging, private label products, or OEM/ODM designs require written confirmation, design approval, and either full payment or an agreed-upon deposit prior to the commencement of production.
- Dropshipping Services: AIERSHA supports dropshipping for qualified partners.
- Fulfillment Note: A portion of our products are stocked in our USA warehouse for faster fulfillment.
3. Pricing and Payment
- Wholesale Pricing: All prices are quoted in [USD / EUR / RMB] and are exclusive of Value Added Tax (VAT), shipping costs, customs duties, and bank fees, unless otherwise explicitly stated.
- Deposit Policy: Standard custom orders require a non-refundable deposit of 30-50% of the total order value prior to the commencement of production. The remaining balance must be settled in full before shipment.
- Payment Methods: AIERSHA accepts payment via bank transfer, PayPal (subject to an applicable surcharge), or other pre-approved methods.
4. Production and Lead Time
Lead Time: Estimated production times range from 7 to 30 business days, depending on product complexity and order quantity. Customers are advised to confirm specific lead times with AIERSHA prior to placing an order. Further details regarding production schedules can be discussed.
5. Shipping and Delivery
- Incoterms: Unless otherwise mutually agreed upon in writing, all shipments are Ex Works (EXW) from our facilities in Shenzhen or Guangzhou.
- Shipping Costs: The buyer is solely responsible for all freight charges, shipping insurance, import taxes, duties, and customs clearance fees.
- Damaged Goods: Any damage sustained during transit must be reported to AIERSHA within five (5) business days of receipt of goods. Claims must be accompanied by clear photographic evidence of the damage. AIERSHA reserves the right to arrange for replacement, credit, or refund at its sole discretion.
6. Returns and Claims
- Final Sale Policy: Due to the intimate nature of our products, all B2B sales are considered final.
- Defective Items: Any defective items must be reported to AIERSHA within seven (7) days of receipt. AIERSHA will then evaluate the claim and, at its sole discretion, may arrange for replacement, issue a credit, or provide a refund.
7. Product Compliance & Certification
AIERSHA products meet relevant certifications (e.g., CE, RoHS). A portion of our products may also meet FDA compliance. Specific certification requests can be confirmed during the quotation or sample stage.
8. Intellectual Property
All designs, logos, product names, packaging, and marketing materials associated with AIERSHA are the sole property of AIERSHA, unless a specific co-branding or licensing agreement is explicitly in place. Reproduction, modification, or unauthorized use without prior written consent from AIERSHA is strictly prohibited.
9. Marketing & Brand Representation
Authorized distributors are encouraged to utilize official images and product descriptions provided by AIERSHA. Any marketing materials, campaigns, or public representation employing AIERSHA's branding must receive prior written approval from AIERSHA.
10. Confidentiality
Both parties agree to treat all trade information, pricing, designs, and communications exchanged hereunder as confidential. Neither party shall disclose such confidential information to third parties without the prior written consent of the other party.
11. Termination
Either party may terminate this agreement upon [Number, e.g., thirty (30)] days' written notice to the other party. Upon termination, all existing obligations must be fulfilled, and any outstanding payments settled in full.
12. Limitation of Liability
AIERSHA shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, loss of business, business interruption, or reputational harm, arising out of or in connection with this agreement or the use of its products.
13. Governing Law and Jurisdiction
These terms shall be governed by and construed in accordance with the laws of [Insert Your State/Country, e.g., the State of California, USA]. Any dispute shall be subject to the exclusive jurisdiction of the courts located in [Insert Jurisdiction, e.g., Los Angeles County, California].
General Terms and Conditions (GTC) for Consumers

1. Scope of Application and Contracting Parties
These General Terms and Conditions (GTC) govern the contractual relationship between AIERSHA (hereinafter referred to as "we" or "the provider") and you as the buyer (hereinafter referred to as "the customer" or "you"). They apply to all orders placed through our online shop.
2. Conclusion of the Contract
The presentation of products in our online shop does not constitute a legally binding offer but rather a non-binding online catalog. You submit a binding offer by completing the ordering process and clicking the "Order with obligation to pay" button at the end. Immediately after submitting your order, we will send you an email to confirm receipt of your order. This order confirmation does not yet constitute acceptance of your offer. A binding contract is only concluded when we accept your order through a separate shipping confirmation or by delivering the goods.
3. Pricing and Payment
All prices listed in our online shop are final prices. They include the statutory value-added tax. Shipping costs are added separately.
We offer various payment methods, which will be displayed to you during the ordering process. These typically include:
- Credit card
- PayPal
- Bank transfer (prepayment)
For prepayment, the purchase price must be transferred within 7 days of receiving the order confirmation.
4. Shipping and Delivery
Delivery will be made within the delivery time specified on the product page. Delivery periods begin upon receipt of payment. Shipping is carried out by a shipping service provider of our choice. The shipping costs will be displayed to you during the order process before you finalize your order.
5. Right of Withdrawal
As a consumer, you have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period begins on the day on which you or a third party named by you, who is not the carrier, has taken possession of the last goods.
To exercise your right of withdrawal, you must inform us of your decision to withdraw from this contract by means of a clear statement (e.g., a letter sent by post or an email).
Exception: The right of withdrawal does not apply to sealed goods that are unsuitable for return for reasons of health protection or hygiene if their seal has been removed after delivery. This applies in particular to our products once the original packaging has been opened.
Consequences of Withdrawal: If you withdraw from this contract, we must refund all payments we have received from you (including delivery costs) without delay and no later than fourteen days from the day we received the notification of your withdrawal. For this refund, we will use the same payment method you used for the original transaction. We may refuse to issue a refund until we have received the goods back or until you have provided proof that you have returned the goods, whichever is the earlier.
You must return or hand over the goods to us without undue delay and, in any case, no later than fourteen days from the day on which you inform us of the withdrawal from this contract. You will bear the direct costs of returning the goods.
6. Warranty and Defects
All goods from our online shop are subject to a statutory warranty for defects. If a delivered item has a defect, you have the right to demand subsequent performance (repair or replacement). If subsequent performance fails, you can withdraw from the contract or reduce the purchase price.
Note: Obvious defects must be reported to us within two weeks of the delivery of the goods.
7. Liability
We are liable without limitation for damages resulting from a willful or grossly negligent breach of duty. In cases of slight negligence, we are only liable for the breach of a material contractual obligation and limited to the foreseeable damage typical for the contract. This limitation of liability does not apply to damages resulting from injury to life, body, or health.
8. Copyright and Trademark Protection
The content of our online shop, including photos, logos, and texts, is protected by copyright and other intellectual property rights. Unauthorized use is prohibited. The brand names and logos of AIERSHA are our property and may not be used without our express written consent.
9. Dispute Resolution
The European Commission provides a platform for online dispute resolution (ODR), which you can find at https://ec.europa.eu/consumers/odr/. We are not obligated and generally unwilling to participate in dispute resolution proceedings before a consumer arbitration board.
